In addition to its other substantial capital markets expertise, Derayah LLPC (Saudi Legal) has significant capabilities in advising domestic and international clients in relation to funds, whether in relation to the establishment of funds within the Kingdom of Saudi Arabia or the marketing and issuance of foreign funds to investors in the Kingdom of Saudi Arabia. A representative list of our funds and investments expertise is set out below:

• We advised a regional investment bank on a Saudi Arabian close ended real-estate fund to develop land in Saudi Arabia into a mall to service the local and tourism market.
• We advised a Saudi Arabian investment fund manager in structuring and establishing a Shari’a compliant investment fund focused on mixed-use real estate projects and investments in Saudi Arabia.
• We advised a European sovereign fund in connection with a reclassification of shares they own in a multinational French financial group. We advised on the Capital Market Regulation, the Rules on the Offer of Securities and Continuing Obligations, the Capital Market Institutions Regulations, the Competition Regulations and regulations issued by the Saudi Arabian Central Bank.
• We advised a non-Saudi entity on the marketing and issuing of foreign funds to investors in Saudi Arabia. We counselled the company on what was permitted under the Capital Market Regulation and Implementing Rules in respect of marketing common stocks to prospective investors in Saudi Arabia, whether approval or registration with any governmental authority or regulator was required, and what the required government approvals were.
• We represented a Saudi Arabian bank in litigation arising from the alleged mismanagement of an investment fund.
